St. Pete Biz provides an online community resource and business directory that helps users discover businesses and professionals in and around the St. Petersburg, Florida area.
The Site may provide free and paid business listings, featured listings, advertising opportunities, promotional services, and other business-related services.
You must have the legal capacity to enter into a binding agreement to use paid services or submit information on behalf of a business.
If you use the Site on behalf of a company or other organization, you represent that you have authority to act on its behalf and bind it to these Terms.
Certain Site features, including submitting or managing listings, may require an account.

By submitting a listing, you represent and warrant that:
St. Pete Biz may review, edit, categorize, reject, suspend, or remove listings at its reasonable discretion.
Submission does not guarantee publication, placement, ranking, traffic, leads, customers, or sales.
You retain ownership of content you own and submit to St. Pete Biz.
By submitting content for publication, you grant St. Pete Biz a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, resize, and otherwise use that content as reasonably necessary to operate, promote, and display the directory and related St. Pete Biz services.
This license continues for as long as the content is used in connection with your listing or our legitimate records, subject to applicable law.
St. Pete Biz is a directory and informational resource.
Although we may review or organize listings, we do not guarantee that information concerning any listed business is complete, accurate, current, or reliable.
Businesses may change their addresses, telephone numbers, operating hours, pricing, ownership, services, qualifications, licenses, or other details without notifying us.
Users should independently verify information before relying upon a listing or entering into a transaction.
The inclusion, placement, categorization, recommendation, or featuring of a business does not constitute a guarantee or warranty by St. Pete Biz regarding that business.
Featured, premium, sponsored, or advertising placements may receive greater visibility because the business has purchased promotional services.
Users are responsible for evaluating businesses before purchasing products or services from them.
St. Pete Biz generally provides information that connects users with independent businesses.
Unless expressly stated otherwise, St. Pete Biz is not a party to transactions between Site users and listed businesses.
We are not responsible for the products, services, pricing, representations, conduct, warranties, availability, quality, safety, legality, or performance of independently operated listed businesses.
Any dispute between a user and a listed business should ordinarily be resolved directly between those parties.
St. Pete Biz may offer different listing levels, including free and paid or featured options.
Features, placement, duration, and pricing are those displayed or otherwise communicated when a listing or service is purchased.
We may modify future prices, packages, and available features. Changes will not retroactively alter a completed purchase unless otherwise agreed or required by law.
A featured or paid listing purchases promotional placement or additional features only. It does not guarantee search-engine rankings, website traffic, inquiries, leads, revenue, or sales.
St. Pete Biz may offer banner advertisements, placement advertising, featured promotions, or other advertising opportunities.
Advertisers are responsible for ensuring that advertisements and linked destinations are accurate, lawful, and do not violate third-party rights.
We reserve the right to reject or remove advertising that we reasonably determine is inappropriate, misleading, unlawful, harmful, or inconsistent with the Site.
Unless expressly agreed in writing, advertising does not guarantee any particular number of impressions, clicks, leads, conversions, or sales.
St. Pete Biz may advertise or facilitate website design, search-engine optimization, reputation marketing, digital marketing, hosting/support, or related services.
Specific services may be subject to additional proposals, statements of work, payment terms, timelines, deliverables, or agreements.
Where separate written terms for a purchased service conflict with these Terms, the service-specific written agreement will control with respect to that service.
Prices for paid services will be presented at the time of purchase, quotation, or agreement.
You agree to pay all applicable charges associated with services you order.
Payment processing may be provided by a third-party processor and may be subject to that processor’s terms and privacy practices.
Unless a specific offer, checkout page, proposal, or written service agreement states otherwise, fees for advertising, promotional placement, completed digital work, or periods of service already provided are non-refundable to the extent permitted by law.
If a service has separate cancellation or refund terms, those terms will control.
Nothing in this section limits any non-waivable rights available under applicable law.

St. Pete Biz does not control and is not responsible for third-party content, availability, security, privacy practices, products, or services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND DIRECTORY ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
WE DO NOT WARRANT THAT THE SITE WILL ALWAYS BE AVAILABLE, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS, OR THAT DIRECTORY INFORMATION WILL ALWAYS BE ACCURATE OR CURRENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ST. PETE BIZ AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO USE OF THE SITE, DIRECTORY INFORMATION, THIRD-PARTY BUSINESSES, OR THIRD-PARTY WEBSITES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM A PAID SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO ST. PETE BIZ FOR THE PARTICULAR SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
To the extent permitted by applicable law, you agree to indemnify and hold harmless St. Pete Biz and its owners, officers, employees, contractors, and agents from claims, liabilities, losses, and reasonable expenses arising from your submitted content, your misuse of the Site, your violation of these Terms, or your infringement of another person’s rights.
We may restrict, suspend, or terminate access to the Site or remove content when we reasonably believe a user has violated these Terms, created a security or legal risk, engaged in fraudulent or abusive conduct, or otherwise misused the Site.
We may modify Site features, services, packages, or these Terms from time to time.
Updated Terms will be posted on the Site with a revised “Last Updated” date. Continued use of the Site after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Subject to applicable law, disputes arising from these Terms or the Site will be brought in a court of competent jurisdiction located in Pinellas County, Florida.
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
These Terms, together with the Privacy Policy and any applicable service-specific agreement, constitute the agreement between you and St. Pete Biz concerning use of the Site and its applicable services.
